The existence of Flood does not instantly make a game M or T. The reason that the Flood were rated so harshly was the dismemberment. ESRB rules make it so any gore or dismemberment causes a game's rating to go up. The first Halo was relatively tame, as it had little swearing and the like, outside of the Flood. The later games, however, have garnered enough content to make them M, including more realistic depictions of blood and a much larger dose of language. Most of use here on these forums would not care about the rating but, for the ESRB and many in the world at large, these minor distinctions do count.

I think the main distinction between the two games is the realism. Watching blood from 100 ft up when you are only indirectly controlling it is different in the ESRB's eyes than having your hands on the person from a first person perspective.Denarran is comepletely correct.
