The Governor is a complex character. He doesn't appear to be completely evil, and I think he does genuinely care about his people, but he clearly has a sadistic and megalomaniacal side to him. The way he grinned and laughed as he killed those soldiers was disturbing and very telling of his true nature. He was also prepared to murder rick's group for no reason. He also demonstrated his obsession with control when he forced maggie to strip, although he didn't appear to -blam!- her, which is something I guess. He is not a good person, and I have a feeling that Penny's "death" will make his dark side far more visible on the surface.
as for him being like Rick, I disagree. Rick has become ruthless and his humanity has clearly eroded between season 2 and 3, but he is still fundimentally a good man. He does not kill when it isn't necessary, (although leaving that prisoner to be killed by walkers was very dark), and had he been the same as the governor he would have killed all the inmates outright due to the potential threat they posed. I think at this point, everyone has a dark side to them, especially Rick and The Governor. I think the intensity of what they would do varies with the amount of people they're in charge of. For example the group at the nursing Home in S1, their leader was far more ruthless than Rick at the time, and he was in charge of a lot more people. But hat's just a theroy. And obliviously The Goveror is a bit crazy, with the heads and everything. And the whole situation with Penny was completely acceptable with his sanity.
